INTRODUCTION TO OUR COMPANY

Riingo inc. (“Riingo”, or the “Company”), began operations on October 4, 2019 with the purpose of providing a mobile phone rate plan for members, including individuals and families, called “Riingo Mobile”, with a discounted price offered through Riingo’s membership program that individual customers cannot obtain on their own, online or in stores. The Company’s legal structure was formed as a corporation under the laws of the State of Utah on October 4, 2019. The primary executive managers of the Company are Jeremiah Cox, Metta World Peace, Alan Clegg, Ron Popiel, Jimmi Toro, Heidi Buech, Paul Gibbons, and Brandon Sunday.

Riingo’s forward business plan is focused on offering a mobile phone rate plan that is targeted towards member subscribers, called “Riingo Mobile”. Riingo will also offer a plan geared specifically for kids, (metered and managed by the parent based on the behavior of their child), with a suite of parental oversight tools that allow for pausing of the child’s phone remotely so they can focus on chores, schoolwork, etc. when the parent is not home to physically take the phone to remove the distraction. Parents who become Riingo members will now have access to a “member’s only” discounted price on their mobile phone rate plans, coupled with a simple set of tools to help teach kids proper time management in using these technology devices.

Riingo also intends to offer educational curriculum, called Riingo Academy, delivered through smartphones and tablets, to its members. These modules of curriculum aim to teach parents and kids early career planning and “financial literacy” skills, with a tracking mechanism to help them to plan, earn and save for upcoming and milestone purchases. Riingo Academy will deliver a sleek user interface that helps kids, (and parents), to visually see progress with color charts and other graphically appealing displays, motivating them to keep up the good work and achieve success.

With individuals involved in the Company such as: Metta World Peace, Brandon Copeland and Sam Bracken, Riingo has aggregated an experienced and powerful trio of representatives focused on a mission to bring about positive change for kids globally. Speaking in school districts across the U.S. to start, recording Riingo presentations along the way, the Company will seek to reach millions of families and individuals, provide them a unique phone plan, and guide them on a life-long journey of achievement and success.

Customer Support Apparatus

Operationally, the Company intends to build a transactional website that allows for Riingo members to refer their family and friends to use the service, and earn a “referral spiff” for helping Riingo to grow its membership base. The Company intends to develop a call center for sales and service support, and will also create a growing video library, based on the questions we receive, to answer our member’s questions in an entertaining and immersive "sight and sound" format that engages support and encourages sharing of the videos through social media.

Marketing Plan

The Company intends to market its products and services using multiple tactics and sales channels. One such channel will involve speaking engagements in school districts across the U.S. to start, called “Get Smarter” Symposiums, utilizing the celebrity status of our co-founder, Metta World Peace, to produce an uplifting and inspiring event that teaches kids and parents how to face adversity with resilience, and how to manage their time in a way that sets them up for success. A big part of that planned success is dependent on how a child decides to manage time spent on digital screens, with a more favorable balance of time spent pursuing the development of their own skills for future awesomeness. The Company will also deploy typical marketing and social media strategies, utilizing video captured at the “Get Smarter” Symposiums, and edited to highlight important aspects of Riingo’s mission, to create exposure and drive interest in the Company and its “Smarterphone Solutions."

He has successfully raised money for charities, worked as a mortgage banker, owned a telecommunications business, and is currently building a mobile app technology company with hopes to make this world a better place. His honest, direct approach removes barriers, and he has the vision to see the positive impact a successful venture can have in the lives of the people it serves. Jeremiah expends his greatest efforts in assisting his wife of over 20 years in raising 4 interesting sons. His mission is to make sure these young boys turn into men of quality and character, and he carries that mission forward to all humans everywhere through Riingo, inc.

Co-Founder, Vice Chairman, Chief Visionary Officer

Metta World Peace, (formerly known as Ron Artest), has many accolades, most notably for his 19-year career in the NBA and as a key player with the NBA 2010 World Championship winning Los Angeles Lakers. Metta also received the NBA’s J. Walter Kennedy Citizenship Award, the Defensive Player of the Year Award, and is well known as a Mental Health Advocate. Metta has stayed immersed in the basketball world with his XvsX Sports app, and coaches teams with XvsX Sports and more. Off the court, Metta is a mentor to many and has been involved in numerous philanthropic endeavors to assist kids in becoming achievers in life. He also possesses a very diverse skill set and range of abilities, creating success as an entrepreneur, author, reality TV star and tech developer. His Sports-Emmy nominated documentary: Quiet Storm: The Ron Artest Story premiered on ShowTime in May, 2019. Metta brings a wealth of experience and a vast network of connections to Riingo, and is excited to help create and develop ideas that will make our planet better for all people, especially kids.

Alan has used his Business Administration degree from Utah State University to build and to owner-operate a successful business for over two decades. As a craftsman, and the founder of Wasatch Shutter Design, Alan has created, manufactured, sold and installed a portfolio of products that have delighted many thousands of customers along the Wasatch Front and neighboring states. His passion to deliver a superior product and service, while providing meaningful careers for his valued team members, has placed WSD among the best in the industry. Having established a core team of leaders and producers at WSD, Alan will lend his years of business acumen to Riingo inc. as a member of its board of directors and as its President. Holding true to his roots as a craftsman, he will now work to build better lives. Alan and his wife are the proud parents of 4 adventurous children.

Ron Popiel

Ron Popiel has been a mortgage professional since he moved to Utah in 1996. He has been licensed to originate loans in 26 states and currently holds the Utah Lending Mangers license. During his 25 year career, he has managed and trained hundreds of loan officers while helping a countless number of clients to obtain their dream of owning a new home while strategically preparing for a successful retirement. Ron has been married to his wife, Jamie, for over 30 years and they share two wonderful adult children together. He enjoys the outdoors, hiking, backpacking and skiing and wants everyone to plan well enough so that they can find and enjoy pursuing their own passions.

James A. Toro

James A. Toro

Co-Founder and Chief Marketing Officer

Jimmi has decades of experience in the fields of marketing, ad agencies, and creative direction and execution. From running a full sized ad agency with several multi-million dollar marketing budgets, to directing the marketing efforts of many large, medium, and small sized companies, he has experienced the dynamics businesses encounter in how they spend their marketing dollars effectively. He has also worked through and experienced the advantages of the digital age of marketing and the short comings of relying too much on this analytic driven phase of marketing we are experiencing. In addition to this practical side of marketing, Jimmi has several decades of experience as a graphic designer and creative director in all phases of the creative world from design, film and video, copy writing, animation & illustration, audio, photography, and directing. He is also a wicked fine artist.

Co-Founder and Chief Public Relations Officer

Heidi Buech is a seasoned executive with over 20 years of multi-functional experience across business development and operations, media production, crisis management and public relations. She has served as President of Artest Media Group and Artest Management Group where she’s played a pivotal role in the day-to-day functioning of the companies and develops creative and strategic plans for the company’s projects. She has experience leading a variety of projects including television shows, documentaries, books and consumer products including clothing lines and beverages through all stages of development. She has a broad and extensive background in branding, crisis control and public relations.

Paul Gibbons

Co-Founder and Chief Financial Officer

Paul will manage all financial aspects of Riingo, with a dedicated focus on the financial growth and solvency of the company, allowing for reinvestment into additional software and mobile app solutions that will benefit families. Paul received a Masters of Accounting degree and is a Certified Public Accountant (“CPA”). During his career, he has been a contract controller for a publicly traded manufacturing company and has taught at Utah State University. He specializes in tax accounting for publicly traded and closely held businesses in manufacturing, oil & gas, real estate, restaurant, and various other industries, including technology. He wisely employs the principles of financial solvency and growth, and ensures that the company has a strong and methodical approach to expansion.

Brandon Sunday

Brandon has over ten years of experience in the IT industry with his primary focus being on software development and the creation of mobile applications. He has experience in the manufacturing industry while also spending time with well known organizations such as Adobe. He has personally coded many solutions for burgeoning start-ups, and is a talented project leader, sourcing the right development teams for specific projects, and driving those project to completion on time and within proscribed budgets. Brandon is passionate about soccer, BYU sports, and spending time with his family. He currently resides in Farmington, UT with his wife and four children.

Minimum Subscription: $25,000 (250,000 Shares)

The Company is offering a maximum of 5,000,000 Shares of Common Stock at a per Share price of $0.10 per Share. Upon completion of the Offering between 10,050,000 and 15,050,000 shares of Common Stock will be issued. When shares currently under vesting agreements are included, the total issued shares post-offering, assuming maximum proceeds, is 87,500,000.

The shares of Common Stock are equal in all respects, and upon completion of the Offering, the Common Stock will comprise the only class of capital stock that the Company will have issued and outstanding upon close of the Offering.

Each Common Shareholder is entitled to one vote for each share held on each matter submitted to a vote of the Shareholders.

Shares of Common Stock are not redeemable and do not have conversion rights. The Shares currently outstanding are, and the Shares to be issued upon completion of this Offering will be, fully paid and nonassessable.
